84<p><span style="font-size:10.0pt">THE ACCOMPANYING PROGRAM IS PROVIDED UNDER
85THE TERMS OF THIS ECLIPSE PUBLIC LICENSE ("AGREEMENT"). ANY USE,
86REPRODUCTION OR DISTRIBUTION OF THE PROGRAM CONSTITUTES RECIPIENT'S ACCEPTANCE
87OF THIS AGREEMENT.</span> </p>

89<p><b><span style="font-size:10.0pt">1. DEFINITIONS</span></b> </p>

91<p><span style="font-size:10.0pt">"Contribution" means:</span> </p>

94in the case of the initial Contributor, the initial code and documentation
95distributed under this Agreement, and<br clear="left">
96b) in the case of each subsequent Contributor:</span></p>

99changes to the Program, and</span></p>

105such changes and/or additions to the Program originate from and are distributed
106by that particular Contributor. A Contribution 'originates' from a Contributor
107if it was added to the Program by such Contributor itself or anyone acting on
108such Contributor's behalf. Contributions do not include additions to the
109Program which: (i) are separate modules of software distributed in conjunction
110with the Program under their own license agreement, and (ii) are not derivative
111works of the Program. </span></p>

113<p><span style="font-size:10.0pt">"Contributor" means any person or
114entity that distributes the Program.</span> </p>

116<p><span style="font-size:10.0pt">"Licensed Patents " mean patent
117claims licensable by a Contributor which are necessarily infringed by the use
118or sale of its Contribution alone or when combined with the Program. </span></p>

120<p><span style="font-size:10.0pt">"Program" means the Contributions
121distributed in accordance with this Agreement.</span> </p>

123<p><span style="font-size:10.0pt">"Recipient" means anyone who
124receives the Program under this Agreement, including all Contributors.</span> </p>

126<p><b><span style="font-size:10.0pt">2. GRANT OF RIGHTS</span></b> </p>

128<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">a)
129Subject to the terms of this Agreement, each Contributor hereby grants Recipient
130a non-exclusive, worldwide, royalty-free copyright license to<span style="color:red"> </span>reproduce, prepare derivative works of, publicly
131display, publicly perform, distribute and sublicense the Contribution of such
132Contributor, if any, and such derivative works, in source code and object code
133form.</span></p>

135<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">b)
136Subject to the terms of this Agreement, each Contributor hereby grants
137Recipient a non-exclusive, worldwide,<span style="color:green"> </span>royalty-free
138patent license under Licensed Patents to make, use, sell, offer to sell, import
139and otherwise transfer the Contribution of such Contributor, if any, in source
140code and object code form. This patent license shall apply to the combination
141of the Contribution and the Program if, at the time the Contribution is added
142by the Contributor, such addition of the Contribution causes such combination
143to be covered by the Licensed Patents. The patent license shall not apply to
144any other combinations which include the Contribution. No hardware per se is
145licensed hereunder. </span></p>

147<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">c)
148Recipient understands that although each Contributor grants the licenses to its
149Contributions set forth herein, no assurances are provided by any Contributor
150that the Program does not infringe the patent or other intellectual property
151rights of any other entity. Each Contributor disclaims any liability to Recipient
152for claims brought by any other entity based on infringement of intellectual
153property rights or otherwise. As a condition to exercising the rights and
154licenses granted hereunder, each Recipient hereby assumes sole responsibility
155to secure any other intellectual property rights needed, if any. For example,
156if a third party patent license is required to allow Recipient to distribute
157the Program, it is Recipient's responsibility to acquire that license before
158distributing the Program.</span></p>

160<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">d)
161Each Contributor represents that to its knowledge it has sufficient copyright
162rights in its Contribution, if any, to grant the copyright license set forth in
163this Agreement. </span></p>

165<p><b><span style="font-size:10.0pt">3. REQUIREMENTS</span></b> </p>

167<p><span style="font-size:10.0pt">A Contributor may choose to distribute the
168Program in object code form under its own license agreement, provided that:</span>

171<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">a)
172it complies with the terms and conditions of this Agreement; and</span></p>

174<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">b)
175its license agreement:</span></p>

177<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">i)
178effectively disclaims on behalf of all Contributors all warranties and
179conditions, express and implied, including warranties or conditions of title
180and non-infringement, and implied warranties or conditions of merchantability
181and fitness for a particular purpose; </span></p>

183<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">ii)
184effectively excludes on behalf of all Contributors all liability for damages,
185including direct, indirect, special, incidental and consequential damages, such
186as lost profits; </span></p>

188<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">iii)
189states that any provisions which differ from this Agreement are offered by that
190Contributor alone and not by any other party; and</span></p>

192<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">iv)
193states that source code for the Program is available from such Contributor, and
194informs licensees how to obtain it in a reasonable manner on or through a
195medium customarily used for software exchange.<span style="color:blue"> </span></span></p>

197<p><span style="font-size:10.0pt">When the Program is made available in source
198code form:</span> </p>

200<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">a)
201it must be made available under this Agreement; and </span></p>

203<p class="MsoNormal" style="margin-left:.5in"><span style="font-size:10.0pt">b) a
204copy of this Agreement must be included with each copy of the Program. </span></p>

206<p><span style="font-size:10.0pt">Contributors may not remove or alter any
207copyright notices contained within the Program. </span></p>

209<p><span style="font-size:10.0pt">Each Contributor must identify itself as the
210originator of its Contribution, if any, in a manner that reasonably allows
211subsequent Recipients to identify the originator of the Contribution. </span></p>

213<p><b><span style="font-size:10.0pt">4. COMMERCIAL DISTRIBUTION</span></b> </p>

215<p><span style="font-size:10.0pt">Commercial distributors of software may
216accept certain responsibilities with respect to end users, business partners
217and the like. While this license is intended to facilitate the commercial use
218of the Program, the Contributor who includes the Program in a commercial
219product offering should do so in a manner which does not create potential
220liability for other Contributors. Therefore, if a Contributor includes the
221Program in a commercial product offering, such Contributor ("Commercial
222Contributor") hereby agrees to defend and indemnify every other
223Contributor ("Indemnified Contributor") against any losses, damages and
224costs (collectively "Losses") arising from claims, lawsuits and other
225legal actions brought by a third party against the Indemnified Contributor to
226the extent caused by the acts or omissions of such Commercial Contributor in
227connection with its distribution of the Program in a commercial product
228offering. The obligations in this section do not apply to any claims or Losses
229relating to any actual or alleged intellectual property infringement. In order
230to qualify, an Indemnified Contributor must: a) promptly notify the Commercial
231Contributor in writing of such claim, and b) allow the Commercial Contributor
232to control, and cooperate with the Commercial Contributor in, the defense and
233any related settlement negotiations. The Indemnified Contributor may participate
234in any such claim at its own expense.</span> </p>

236<p><span style="font-size:10.0pt">For example, a Contributor might include the
237Program in a commercial product offering, Product X. That Contributor is then a
238Commercial Contributor. If that Commercial Contributor then makes performance
239claims, or offers warranties related to Product X, those performance claims and
240warranties are such Commercial Contributor's responsibility alone. Under this
241section, the Commercial Contributor would have to defend claims against the
242other Contributors related to those performance claims and warranties, and if a
243court requires any other Contributor to pay any damages as a result, the
244Commercial Contributor must pay those damages.</span> </p>

246<p><b><span style="font-size:10.0pt">5. NO WARRANTY</span></b> </p>

248<p><span style="font-size:10.0pt">EXCEPT AS EXPRESSLY SET FORTH IN THIS
249AGREEMENT, THE PROGRAM IS PROVIDED ON AN "AS IS" BASIS, WITHOUT
250WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING,
251WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF TITLE, NON-INFRINGEMENT,
252MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Each Recipient is solely
253responsible for determining the appropriateness of using and distributing the
254Program and assumes all risks associated with its exercise of rights under this
255Agreement , including but not limited to the risks and costs of program errors,
256compliance with applicable laws, damage to or loss of data, programs or
257equipment, and unavailability or interruption of operations. </span></p>

259<p><b><span style="font-size:10.0pt">6. DISCLAIMER OF LIABILITY</span></b> </p>

261<p><span style="font-size:10.0pt">EXCEPT AS EXPRESSLY SET FORTH IN THIS
262AGREEMENT, NEITHER RECIPIENT NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR
263ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES
264(INCLUDING WITHOUT LIMITATION LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY
265OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING
266NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF
267THE PROGRAM OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF
268THE POSSIBILITY OF SUCH DAMAGES.</span> </p>

270<p><b><span style="font-size:10.0pt">7. GENERAL</span></b> </p>

272<p><span style="font-size:10.0pt">If any provision of this Agreement is invalid
273or unenforceable under applicable law, it shall not affect the validity or
274enforceability of the remainder of the terms of this Agreement, and without
275further action by the parties hereto, such provision shall be reformed to the
276minimum extent necessary to make such provision valid and enforceable.</span> </p>

278<p><span style="font-size:10.0pt">If Recipient institutes patent litigation
279against any entity (including a cross-claim or counterclaim in a lawsuit)
280alleging that the Program itself (excluding combinations of the Program with
281other software or hardware) infringes such Recipient's patent(s), then such
282Recipient's rights granted under Section 2(b) shall terminate as of the date
283such litigation is filed. </span></p>

285<p><span style="font-size:10.0pt">All Recipient's rights under this Agreement
286shall terminate if it fails to comply with any of the material terms or
287conditions of this Agreement and does not cure such failure in a reasonable
288period of time after becoming aware of such noncompliance. If all Recipient's
289rights under this Agreement terminate, Recipient agrees to cease use and
290distribution of the Program as soon as reasonably practicable. However,
291Recipient's obligations under this Agreement and any licenses granted by
292Recipient relating to the Program shall continue and survive. </span></p>

294<p><span style="font-size:10.0pt">Everyone is permitted to copy and distribute
295copies of this Agreement, but in order to avoid inconsistency the Agreement is
296copyrighted and may only be modified in the following manner. The Agreement
297Steward reserves the right to publish new versions (including revisions) of
298this Agreement from time to time. No one other than the Agreement Steward has
299the right to modify this Agreement. The Eclipse Foundation is the initial
300Agreement Steward. The Eclipse Foundation may assign the responsibility to
301serve as the Agreement Steward to a suitable separate entity. Each new version
302of the Agreement will be given a distinguishing version number. The Program
303(including Contributions) may always be distributed subject to the version of
304the Agreement under which it was received. In addition, after a new version of
305the Agreement is published, Contributor may elect to distribute the Program
306(including its Contributions) under the new version. Except as expressly stated
307in Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to
308the intellectual property of any Contributor under this Agreement, whether
309expressly, by implication, estoppel or otherwise. All rights in the Program not
310expressly granted under this Agreement are reserved.</span> </p>

312<p><span style="font-size:10.0pt">This Agreement is governed by the laws of the
313State of New York and the intellectual property laws of the United States of
314America. No party to this Agreement will bring a legal action under this
315Agreement more than one year after the cause of action arose. Each party waives
316its rights to a jury trial in any resulting litigation.</span> </p>
